Terms of Service

Effective 1 June 2025 · Version 2.0 · Governed by the laws of Tanzania

This document is effective as of 1 June 2025 (Version 2.0). It is legally binding for all users of the Y-Ya platform. Key clauses: transaction fees (§5), limitation of liability (§11), dispute resolution (§15).

1. Agreement to Terms

By accessing or using the Y-Ya platform (available at yya.co.tz and associated mobile applications), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not use our services.

These Terms constitute a legally binding agreement between you and Y-Ya. They apply to all users, including event organisers who create events, and guests who access events through QR codes or direct links.

These Terms include a transaction fee clause (Section 5), limitations of liability (Section 11), and a dispute resolution clause (Section 15). Please review these sections carefully before using Y-Ya.

2. Description of Services

Y-Ya provides a digital event gifting and experience platform that enables:

  • Event organisers to create QR-code-based gift collection pages for their events at no upfront cost
  • Guests to contribute gifts via mobile money by scanning a QR code
  • Real-time live display of contributions during events via the MC feed feature
  • Guest photo uploading and sharing within event-specific galleries
  • Automated disbursement of collected gifts to organisers' lipa numbers, net of Y-Ya's transaction fee
  • Post-event analytics and gift summaries for event organisers

Y-Ya is a technology platform only. We do not organise events, guarantee gift amounts, or act as a regulated financial intermediary. All financial transactions are processed directly between users and their mobile money providers.

3. Eligibility and Account Registration

3.1 To create events as an organiser on Y-Ya, you must:

  • Be at least 18 years of age
  • Reside in the United Republic of Tanzania or another supported territory
  • Have a valid mobile phone number registered with a Tanzanian mobile network operator
  • Have an active mobile money account (M-Pesa, Tigo Pesa, or Airtel Money)

3.2 Guests accessing events through QR codes are not required to register. However, guests who choose to upload photos must comply with these Terms.

3.3 You are responsible for maintaining the security of your account credentials. Notify us immediately at support@yya.co.tz if you suspect unauthorised access.

3.4 Y-Ya reserves the right to refuse service, suspend, or terminate accounts at our sole discretion, including for violation of these Terms.

4. Event Organiser Obligations

By creating an event on Y-Ya, you agree to:

  • Provide accurate and truthful event information
  • Ensure you have the legal right to receive gifts on behalf of the event
  • Inform your guests that Y-Ya digital gifting is in use and that contributor names and amounts will be displayed live
  • Not use Y-Ya for fundraising, charitable collections, or commercial solicitation without appropriate disclosure
  • Not misrepresent the nature of your event to guests or to Y-Ya
  • Comply with all applicable Tanzanian laws relating to money collection, events, and data protection

You are solely responsible for the content of your event page. Y-Ya is not liable for any disputes between organisers and their guests.

5. Pricing and Transaction Fees

5.1 Y-Ya is free to join and free to create events. Y-Ya earns revenue by deducting a transaction fee from each gift collected through the platform before disbursement to the organiser.

5.3 When a disbursement is triggered, Y-Ya calculates the total gifts collected, deducts the applicable transaction fee percentage, and sends the net amount to the organiser's registered lipa number. The organiser receives a full breakdown of total collected, fee deducted, and net disbursed.

5.4 Y-Ya reserves the right to adjust transaction fee rates, introduce new tiers, or retire existing tiers at any time. Changes will be communicated no less than 14 days before the new rate takes effect. The applicable rate for any event is the rate in force on the event creation date.

5.5 Pro Planner subscriptions are billed monthly in advance. The monthly fee is charged to the organiser's mobile money account on the same date each month. Cancellation takes effect at the end of the current billing period.

5.6 All amounts are quoted and charged in Tanzanian Shillings (TZS). Where required by Tanzanian law, applicable taxes will be shown separately.

6. Disbursement

6.1 Disbursement of collected gifts is triggered automatically 24 hours after the event end date, or manually by the organiser at any time via their event dashboard.

6.2 Y-Ya deducts its transaction fee before sending funds to the organiser's lipa number. The organiser receives a transaction summary showing the full breakdown.

6.3 Y-Ya is not liable for delays caused by mobile network operators or payment system outages beyond our control.

7. Cancellation and Refund Policy

7.1 Because event creation is free, there is no upfront payment to refund. If a technical failure on Y-Ya's part prevents an event from functioning during the scheduled event, Y-Ya will credit the organiser's next event with a waiver of transaction fees, or offer another appropriate remedy at our discretion.

7.2 Transaction fees that have already been deducted from disbursed gifts are non-refundable, as they relate to completed mobile money transactions.

7.3 Pro Planner monthly subscriptions may be cancelled at any time. No partial refunds are provided for the remaining period of a paid month.

7.4 In the event of platform unavailability exceeding 2 hours during a scheduled event, Y-Ya will waive transaction fees for that event or offer an equivalent remedy at the organiser's choice.

To report a platform issue or request a remedy, email support@yya.co.tz with your event ID within 48 hours of the event date.

8. Intellectual Property

8.1 All software, design, trademarks, brand elements, and content developed by Y-Ya are the exclusive property of Y-Ya. You may not copy, modify, distribute, or reverse-engineer any part of the Y-Ya platform without prior written consent.

8.2 You retain full ownership of all content you upload to Y-Ya. By uploading content, you grant Y-Ya a non-exclusive, royalty-free licence to store, display, and process that content solely to provide the Y-Ya service.

8.3 You may not upload content that infringes any third party's intellectual property rights.

9. Prohibited Uses

You agree not to use Y-Ya for any of the following:

  • Fraudulent, deceptive, or misleading gift collection
  • Collecting funds on behalf of a person or organisation without their consent
  • Money laundering, terrorist financing, or any activity prohibited under Tanzanian law
  • Uploading obscene, defamatory, harassing, or unlawful content
  • Attempting to access, disrupt, or interfere with Y-Ya systems or other users' data
  • Creating fake events or fictitious personas to collect gifts
  • Using Y-Ya for commercial advertising without prior written consent from Y-Ya
  • Automated scraping, crawling, or data harvesting from Y-Ya

Violation of these prohibitions may result in immediate account termination and reporting to relevant Tanzanian authorities.

10. Guest Contributions and Disclaimers

10.1 Y-Ya is a platform facilitating voluntary gift contributions. Y-Ya does not guarantee that any specific amount will be raised at any event.

10.2 Gifts made through Y-Ya are voluntary and non-refundable to the guest unless fraudulent activity by the organiser is proven.

10.3 Y-Ya is not responsible for disputes between guests and event organisers regarding gift amounts, event cancellations, or use of collected funds.

10.4 Y-Ya is not a bank, payment institution, or regulated financial services provider. We do not hold funds on behalf of users. Gifts flow directly between mobile money accounts via the relevant network operators.

11. Limitation of Liability

To the maximum extent permitted by Tanzanian law:

  • Y-Ya's total liability arising from any claim shall not exceed the total transaction fees paid by the relevant organiser in the 3 months preceding the claim
  • Y-Ya is not liable for indirect, incidental, special, or consequential damages including loss of revenue, loss of data, or reputational harm
  • Y-Ya is not liable for service interruptions caused by third-party providers including mobile network operators
  • Y-Ya does not guarantee uninterrupted, error-free operation of the platform at all times
Nothing in these Terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable Tanzanian law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Y-Ya and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your use of the Y-Ya platform in violation of these Terms
  • Content you upload, post, or transmit through Y-Ya
  • Your violation of any third party's rights
  • Any event you organise using Y-Ya services

13. Privacy

Your use of Y-Ya is also governed by our Privacy Policy, incorporated into these Terms by reference. By using Y-Ya, you consent to the data practices described in our Privacy Policy, available at yya.co.tz/privacy.

14. Changes to These Terms

Y-Ya may revise these Terms at any time. For material changes affecting your rights or obligations, we will provide at least 14 days' notice via email or in-app notification before changes take effect.

Continued use of Y-Ya after the effective date of revised Terms constitutes acceptance. If you do not agree to revised Terms, you must cease using Y-Ya before the effective date. All prior versions are archived and available on request.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Republic of Tanzania.

15.1 Informal resolution: Contact us at support@yya.co.tz and allow 30 days for informal resolution before initiating formal proceedings.

15.2 Mediation: If informal resolution fails, disputes shall be referred to a mutually agreed mediator in Dar es Salaam.

15.3 Courts: If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Dar es Salaam, Tanzania.

16. General Provisions

Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Y-Ya regarding use of the platform.

Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

No waiver: Failure to enforce any provision shall not constitute a waiver of that right.

Assignment: Y-Ya may assign its rights without notice. You may not assign your rights without Y-Ya's prior written consent.
